Terms of Service

1. Acceptance of Terms

By accessing or using Vincia (“the Service”), operated by Vincia Software OPC (“Vincia”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

Vincia is a software-as-a-service (SaaS) platform that enables service practitioners and small businesses to manage online appointment bookings, intake forms, client communications, and related business operations.

3. Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

You may not share your account, use another's account without permission, or create accounts for disruptive purposes.

4. Subscription and Payment

Certain features require a paid subscription. Subscription fees are billed in advance on a monthly basis through our payment processor, Paddle. All prices are in USD unless stated otherwise.

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are governed by our Refund Policy.

5. Free Tier Limitations

Free accounts are limited to 50 confirmed bookings per calendar month. If you reach this limit, new bookings will be blocked until the next calendar month or until you upgrade your plan.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Transmit spam, malware, or harmful code
• Attempt to gain unauthorised access to any part of the Service
• Reverse-engineer, decompile, or disassemble the Service
• Resell or sublicense access to the Service without our written consent
• Use the Service to process data of individuals without appropriate legal basis

7. Your Content and Data

You retain ownership of all data you input into the Service (“Your Content”). By using the Service, you grant Vincia a limited licence to host and process Your Content solely to provide the Service.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content, including any personal data belonging to your clients. You must have a lawful basis for processing your clients' personal data through Vincia.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vincia Software OPC. You may not copy, modify, or distribute any part of the Service without our express written permission.

9. Termination

We may suspend or terminate your access to the Service at our discretion, with or without notice, if you breach these Terms or for any other reason. You may cancel your account at any time from your billing settings. Upon termination, your data may be deleted after a reasonable retention period.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Vincia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

12. Governing Law

These Terms are governed by the laws of the Philippines. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Philippines.

13. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes your acceptance of the revised Terms.
